Terms and Conditions (SAMPLE)

Authorization:
The client is engaging WebClientMagnet, located at 1440 Stearns
Drive, Los Angeles, CA 90035 as an independent contractor
for the specific project of promoting a world wide website on a
defined number of Internet search engines and directories. The
client hereby authorizes WebClientMagnet Web Site Promotion to
alter existing web pages to optimize them for search engine
placement (subject to approval) and to publicize their completed
website and promotional pages to Web search engines, as well as
other Web directories and indexes, and to promote the site in
general through any means available.

Promotion of a
doorway (information) page may include:
Ensuring the suitability of the pages for promotion on one
specific search engine, as determined by the client.
Testing for accessibility using the most
popular browsers, including Internet Explorer versions 4+ and
Netscape navigator versions 4+. The pages will also be tested
for use by users with disabilities, who may have sight/motor
difficulties.
Sub-editing of the content to ensure readability and general flow.
Weekly or monthly checking for placement in the search engines.
Immediate resubmission, by hand, if a site is dropped.
Changes to the content of the page to increase the placement, at
the client's request

The client's
responsibilities:
Content - the client is at
all times responsible for the content of the site, including
both text and images. If changes are required then reasonable
notice must be given to WebClientMagnet for the updates to be
made.
Prompt payment, due prior to the commencement of work by
WebClientMagnet Web Site Promotion.

Reimbursable Costs.
The client
shall reimburse WebClientMagnet all costs incurred in connection
with the services rendered, as agreed between both parties prior
to the costs being incurred. Reimbursable costs include, but are
not limited to, travel costs, sub-contractors, materials,
computer costs, registration fees, telephone, copies, delivery,
etc. that are attributable to a project or service. Travel costs
are defined as air travel, lodging, meals and incidentals,
ground transportation, tools, and all costs associated with
travel. All extraordinary travel expenses must receive the
client's approval. WebClientMagnet shall provide to the client
substantiation of reimbursable costs incurred.

Costs.
Costs to the client will be made by agreement on a per-project
basis. Each phase of a project may also be quoted for and agreed
to separately. Any other work subsequently required, that is not
specifically detailed in the requirements of the project, will
be charged for at the standard hourly rate (US$90 at the time of
publication with minimum half-hour increments). All work and costs are to be agreed by both
parties before the work commences.

Web space and domain
hosting.
Hosting is to be provided by the client for all promotional
pages. Should alternative arrangements prove necessary, the
client is responsible for all costs involved. The client is also
responsible for the purchasing/set-up of any necessary domain
names and sub-domain names.

Payment of Fees.
All payment is to be received in full before the agreed work will
commence. Any future work should be agreed and paid for before
the work is carried out. Failure to receive payment may result
in work being delayed until payment is received in full.
In case of immediately necessary work, where pre-payment is not
practical, payment should be made within 7 (seven) days of the
receipt of an invoice from WebClientMagnet.

Legal Issues.
WebClientMagnet does not warrant that the
functions contained in the Internet website will meet the
client's requirements or that the operation of the web pages
or search engine rankings will be uninterrupted or error-free. The entire risk as to the
quality and performance of the web pages and website is with
client. In no event will WebClientMagnet be liable to the client
or any third party for any damages, including any lost profits,
lost savings or other incidental, consequential or special
damages arising out of the operation of or inability to operate
these web pages or website, even if WebClientMagnet Web Site
Promotion has been advised of the possibility of such damages.
If any provision of this agreement shall be unlawful, void, or
for any reason unenforceable, then that provision shall be
deemed severable from this agreement and shall not affect the
validity and enforceability of any remaining provisions. Damages
are limited to the paid value of the contract.

Copyrights and Trademarks.
The client represents to WebClientMagnet and unconditionally
guarantees that any elements of text, graphics, photos, designs,
trademarks, or other artwork furnished to WebClientMagnet for
inclusion in web pages are owned by the client, or that the
client has permission from the rightful owner to use each of
these elements, and will hold harmless, protect, and defend
WebClientMagnet and its subcontractors from any claim or suit
arising from the use of such elements furnished by the client.

Sole Agreement.
The
agreement contained in terms and conditions constitutes
the sole agreement between WebClientMagnet and the client for
the agreed web site. The client may not hire another party, or
attempt themselves, to promote the web site/services at any
stage during the lifetime of the contract for each phase. Any
such actions may prove detrimental to the work of
WebClientMagnet during the promotion. In other words, please
don't try to do the promotion yourself.

Minimum notice.
For all contracts there exists a minimum agreement term of 18
months, after which the customer must provide 4 months prior
notice of termination of the agreement, if the customer wishes
to end the arrangement. The notice must be provided by the
authorized contact person only. The 12 month policy is in place
to ensure that customers have time to see the results of our
work. Search engines and directories can be very slow to add web
sites and the process can take up to 6 months in some extreme
cases. Therefore the arrangement between WebClientMagnet Web
Site Promotion must exist for a minimum term of 18 paid months.
